Most contractors spend decades learning how to build projects.
Very few spend time learning how to leave the business they've built.
Yet every business owner will eventually face one important question:
How will I exit my company?
On this episode of the Profit Tool Belt Podcast, Dominic Rubino sat down with exit planning expert Tim Vorhoff to explain one of the most overlooked succession strategies available to contractors: the Management Buyout (MBO).
If you've ever thought, "I'd love to sell my business to my management team—but they could never afford it," this conversation may completely change the way you think.
One of Tim's biggest messages is simple:
Every owner exits.
The only question is whether that exit happens because you planned for it—or because life forced you to.
Many owners don't start thinking about succession until something unexpected happens.
Tim refers to the "Five Ds":
None of these are situations owners hope for.
But they happen every day.
Planning early gives you options.
Waiting often removes them.
A Management Buyout happens when key members of your leadership team purchase the business from the current owner.
Instead of selling to a competitor or private equity firm, you're selling to the people who already understand your company, your customers, your employees, and your culture.
For many contractors, this creates an attractive path because it allows the company to continue operating with the same people leading it.
But it's not the right fit for every business.
The first requirement is having a leadership team capable of running the company without the owner.
One of the strongest themes throughout the conversation wasn't actually about selling.
It was about leadership.
If every decision still depends on the owner, buyers see risk.
Risk lowers value.
If your managers already lead the business successfully, buyers see stability.
Stability increases value.
In other words, developing leaders isn't just good management.
It's one of the best investments you can make in the future value of your business.
Many owners immediately dismiss a management buyout.
"My managers don't have millions of dollars."
That's true.
Most don't.
But that doesn't automatically eliminate the option.
Tim explains that these transactions often combine several financing sources, including:
A management buyout isn't usually funded by one large cheque.
It's built through thoughtful planning.
Another powerful lesson from the episode is that business owners often negotiate against professional buyers who complete acquisitions every day.
Owners may sell one company in their lifetime.
Professional buyers purchase dozens.
That's a significant experience gap.
Tim encourages owners to build a team of trusted professionals—including advisors, accountants, attorneys, and business coaches—to help them understand every available option before accepting an offer.
Competition creates options.
Options create leverage.
Leverage often creates value.
One of the biggest mistakes contractors make is believing exit planning begins when retirement is around the corner.
In reality, it begins much earlier.
Every leadership system you build…
Every manager you develop…
Every process you document…
Every responsibility you delegate…
All of these increase the independence of your business.
And businesses that don't depend on the owner are almost always worth more.
Whether your exit is five years away or twenty, the work starts now.
Build leaders.
Build systems.
Build a business that can thrive without you.
